Terms

These Terms of Service ("Terms") govern your access to and use of proofembed.com, the Proof Embed application, and our review widgets (together, the "Service"), operated by Proof Embed ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. The Service

Proof Embed lets businesses connect their Google Business Profile and display their Google reviews on their own websites through embeddable widgets. The Service depends on data made available by Google; we do not author, edit, or verify the content of reviews.

2. Accounts

  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • You must be at least 16 years old to use the Service.
  • You may only connect Google Business Profiles that you own or are authorized to manage.

3. Plans, Trials, and Billing

  • Free plan. The Free plan is available indefinitely with the limits described on our pricing page.
  • Trials. Paid plans include a 14 day free trial. A payment method is required to start a trial, and your subscription begins automatically when the trial ends unless you cancel before then. If you cancel during the trial, you are not charged and your account falls back to the Free plan limits.
  • Subscriptions. Paid plans are billed in advance on a monthly or yearly cycle and renew automatically until cancelled.
  • Cancellation. You can cancel at any time from your account settings. Your plan remains active until the end of the current billing period, after which your account falls back to the Free plan limits. Your settings are retained in case you return.
  • Refunds. Except where required by law, payments are non-refundable; we do not provide refunds or credits for partial billing periods.
  • Price changes. We may change prices with at least 30 days' notice. Changes apply from your next billing cycle.

4. Acceptable Use

You agree not to:

  • Use the Service to display reviews for businesses you are not authorized to represent.
  • Alter, fabricate, or misrepresent review content, ratings, or counts displayed by the widgets.
  • Use the Service in a way that violates Google's terms of service or applicable review and advertising regulations, including rules against deceptive testimonials.
  • Probe, scan, or test the vulnerability of the Service, or interfere with its operation.
  • Resell, sublicense, or white-label the Service except as expressly permitted by your plan (for example, agency features).
  • Use the Service for any unlawful purpose.

5. Review Content and Google Data

Reviews displayed through the Service are authored by third parties and sourced from Google. We display them as provided and do not endorse them. Filtering features (such as minimum star ratings or hiding specific reviews) are provided for presentation purposes; you are responsible for ensuring your use of them complies with the consumer protection laws that apply to your business and jurisdiction. Your use of Google data through the Service is also subject to Google's applicable terms.

6. Your Website

You are responsible for the websites where you embed our widgets, including having any notices or consents required by the laws that apply to your site. Our widgets are designed not to track your visitors or set tracking cookies.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by Proof Embed and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service, including embedding widgets on websites you control, for the duration of your account. Feedback you send us may be used without obligation to you.

8. Availability and Changes to the Service

We aim for high availability but the Service is provided without uptime guarantees unless your plan includes a separate service level agreement. We may modify, add, or remove features over time. If we discontinue the Service entirely, we will give you at least 30 days' notice.

9. Third-Party Services

The Service integrates with services we do not control, including Google's APIs and our payment processor. We are not responsible for third-party services, and outages or changes on their side (for example, changes to Google's APIs) may affect the Service. Your use of those services is governed by their own terms.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that review data will always be current or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Proof Embed will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the claim arose, or $50 if you have not paid us anything.

12. Indemnification

You agree to indemnify and hold harmless Proof Embed from claims arising out of your use of the Service, your website, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your widgets will stop serving and sections 7, 10, 11, 12, and 15 survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
